SPICe+ (New online form for Company Incorporation) Part-A

  • 1. For name reservations of new companies, MCA has stretched the time limit of 20 days. It is for submission of Part B of SPICe+. The new deadline is 20th June 2020, for those expiring in between 15th March-31st May 2020.

  • 2. MCA has moved the time limit of 60 days for INC-24 form submission for name change reservation. It is now available until 30th July 2020. The new deadline is 20th June 2020, for those expiring in between 15th March-31st May 2020.

  • 3. MCA has forwarded the RSUB validity as well. It is for those SRNs, whose final day of doing resubmission is expiring between 15th March -31st May 2020. The new deadline is 20th June 2020, for those expiring in between 15th March-31st May 2020. However, it is not for those who fall under NTBR, i.e., Not to be taken on Record. Moreover, the extension is meant for only a case-to-case basis.

For smooth business operation, SPICe+ is for a company establishment and occasional registration. Moreover, it is a replacement for the already available one. Hence, the new incorporations will have to do through online SPICe+ form filing. However, one needs to fill in AGILE-PRO, SPICe+AoA, and SPICe+MoA forms as well.

What is SPICe+?

Full form of SPICe+ is Simplified Proforma for Incorporating Company electronically Plus. Primarily, SPICe+ is targeting to provide around 10 services through 3 ministries of the central government. The 3 central government departments are Ministry of Corporate Affairs, Labour, and the Department of Revenue. Also, it covers one state government, i.e., of Maharashtra.

  • Incorporation of Company
  • DIN Application
  • Application for PAN
  • TAN Application
  • GSTIN Application
  • Registration of EPFO
  • Registration of ESIC
  • Company’s bank account opening
  • Registration of Profession Tax (explicitly for Maharashtra)
2 ways to apply:

1. One can apply both Part A and B simultaneously
2. One can first apply for Part A. Post reservation; one may go for applying Part B.

3. What basically is AGILE-PRO?

Basically, AGILE application is for Goods and services identification numbers. Also, it’s for employees’ state Insurance corporation registration. Additionally, it is for provident fund organization registration. Instead of old AGILE form (INC – 35), one has to fill the new AGILE – PRO web form.

4. RUN Web Service

Full form of RUN is Reserve Unique Name. Primarily, the service is meant for reserving a new company name or for changing that of an existing one. Moreover, one needs to provide entity type and desired names for reservation of names for a new company. Additionally, CIN/LLPIN details are essential for changing the name. However, RUN service will be there for changing names of existing companies, with SPICE+ and AGILE – PRO forms there.

• Articles of Association

• Declaration of the first director(s) and subscriber(s). No Affidavit is essential.

• Office address proof

• Utility bill copy

• Incorporation certification copy of foreign corporate body (if it’s there)

• Resolution from promoter company

• First director(s)’s interest in other entities

• Nominee consent (INC–3)

• ID proof along with the subscribers’ residential address

• Identity proof along with the residential address of nominees

• Proof of Identity and address of Applicant I, II, III

• Resolution of companies without registration for Chapter XXI (Part 1) Companies

• Declaration in Form No. INC – 14

• Declaration in Form No. INC – 15

• Additional attachments (if any)

• Attachments – Part A

For AGILE-PRO:

  • Proof of primary business address

  • Proof of appointing an Authorised Signatory for GSTIN
  • (One may provide a Letter of Authorisation or, Copy of Resolution passed by BOD/
  • Managing Committee and Acceptance Letter)

  • ID proof of Authorised Signatory for bank account opening

  • Address proof of Authorised Signatory bank account opening

  • Authorized Signatory Specimen Signature for EPFO
6. Additional noteworthy changes

1. Now, one can view the names with approval. Primarily, this is due to the availability of a fresh dashboard for SPICe+ and other forms. Moreover, this can cut down the demand for making SRN search.

2. It is essential now for companies having been incorporated through SPICe+ to apply for-

  • EPFO Registration
  • ESIC Registration
  • Bank Account opening (AGILE – PRO)
  • Profession Tax Registration (explicitly for Maharashtra)
3. Post completion of application, one needs to convert it into PDF.

4. Moreover, one can do pre-scrutiny checks and different validations over the online form. However, DSC validation can only happen while uploading.

5. Subscriber (s) declaration and of the first directors in INC 9 will be available through auto-generation. It will be there in PDF. Moreover, submission has to happen electronically.

6. Certification by following professionals is also essential:
  • Chartered Accountant
  • Cost Accountant
  • Company Secretary
7. However, it is not essential in the below occasions:
  • · In case when there are more than 20 directors/subscribers
  • · In those occasions when any of the director(s) or subscriber(s) do not have a DIN or PAN

The mode of company incorporation has certainly gone smarter and easier in past few years. Primarily, this is said due to the initiatives of the government. Evidently, their goal of a smooth and effective process is gradually becoming a reality. Earlier, it used to be a hectic process requiring months of hustle.
