There are four types of changes in a registered office address

1)Change within the same city
Change within the same city involves the simplest process. In this case, the organization has to pass a resolution by arranging a board meeting. After that, they have to file the form INC-22 with MCA. This must be recorded within 30 days from the board meeting

2)Change within the same state and ROC
If any company wants to change the address of the registered office from one city to another, then they have sought approval from the stakeholders. In such cases, the company has to pass a resolution in the board meeting. Then they have to pass a special resolution in EGM. Once a company obtains all the resolution in the next steps, they have file formINC-22 and MGT-14 with MCA. The filing should complete within 30 days from the board agreement.

3) Changing office within the same state but a different ROC
In large states like Maharashtra and Tamil Nadu, usually, there are two ROCs. Thus, you may shift your office address in the same state, But it has a different ROC. In such cases, there is a procedure implementing changes. The company has to pass a resolution by holding a board meeting. They have to conduct an EGM to pass a special resolution for change in the office address. The company shall also publish an advertisement for changing the office address and sent a notice to the debenture holders. The company will also have to apply to the regional director about shifting the office. And finally, the company needs to file INC-22 to ROC for shifting the office.

4) Changing From one state to other
If any company wishes to shift office from one state to another, they must follow a completely distinct procedure. Thus the MOA of the company may be to be altered. It is because state of the registered office change. In the case of interstate changes, a company must hold a board meeting to pass a resolution. They also have to conduct an EGM to pass a special resolution about the change in address. After passing the resolution, the company must file MGT-14 with MCA.
The company wishing to change the address from one state to another should also publish an advertisement about it. It must be published in any one local and English newspaper. The company should also send notice to all the debenture holders. Then in the final step, the company has to file an application and form INC-22 to ROC with all the documents. If the ROC has any objections, then a hearing would be done with the central government to pass essential order
